1. Introduction

1.1 Paily (“we”, “us” or “our”) is a fintech platform that facilitates the remittance of money for personal use and provides businesses with invoicing and payment services
1.2 These Terms and Conditions (“Terms”) govern your use of our website, platform, and services (collectively, the “Services”). By accessing or using our Services, you agree to these Terms. If you do not agree with any part of these Terms, you must discontinue using our Services.

2. Eligibility

2.1 You must be at least 18 years old and legally capable of entering into a binding contract in order to use our Services.
2.2 By registering an account, you represent and warrant that you meet the eligibility criteria, that the information you provide is accurate and complete, and that you comply with all applicable laws and regulations.

3. Registration and Account Security

3.1 To use our Services, you must create an account with Paily. You agree to provide accurate,current, and complete information during the registration process and to update such information to keep it accurate, current, and complete
3.2 You are responsible for maintaining the security and confidentiality of your account credentials. You are solely responsible for all activities that occur under your account, whether authorized or not.
3.3 Paily reserves the right to suspend or terminate your account if any information provided during the registration process or thereafter is inaccurate, not current, or incomplete, or if there is a breach of these Terms.

4. Use of Services

4.1 Personal Use: You may use the Services to send funds to friends, family, or any other individuals for personal purposes.
4.2 Business Use: Businesses may use the Services to create invoices, send, and receive payments. Business users must comply with all applicable laws and regulations in their jurisdiction.
4.3 Prohibited Use: You agree not to use the Services for any illegal, fraudulent, or unauthorized purposes, including but not limited to money laundering, financing terrorism, or other criminal activities.
4.4 Paily reserves the right to suspend or terminate your access to the Services if we suspect any violation of these Terms, applicable law, or if we detect any suspicious activity.

5. KYC (Know Your Customer) and AML (Anti-Money Laundering)

5.1 KYC Compliance: Paily is committed to complying with KYC regulations. As part of the account registration process and ongoing monitoring, you may be required to provide certain personal information, including but not limited to your full name, date of birth, address, government-issued identification, and financial information.
5.2 AML Compliance: Paily adheres to Anti-Money Laundering laws and regulations. We have implemented policies and procedures to detect, prevent, and report suspicious activities that may be associated with money laundering or terrorist financing.
5.3 Monitoring and Reporting: We reserve the right to monitor transactions and user activities for compliance with KYC and AML requirements. Paily may report any suspicious activities to the relevant authorities without prior notice to you.
5.4 Account Suspension or Termination: Failure to comply with KYC and AML requirements may result in the suspension or termination of your account, in addition to any other legal actions that may be warranted.

6. Payments and Fees

6.1 Users may send funds using their debit cards, and funds will be received by the designated bank accounts of the recipients.
6.2 Paily may charge fees for the use of certain features of the Services. All applicable fees will be disclosed at the point of transaction and may vary depending on the transaction type, amount, and currency.
6.3 You are responsible for any fees or charges imposed by your bank, payment provider, or other financial institutions in connection with your use of the Services.
6.4 All payments and transactions are subject to Paily's transaction limits, security checks, and verification processes.

10.1 To the fullest extent permitted by law, Paily shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses arising from or related to your use of the Services.
10.2 Paily's total liability to you for any claim arising out of or relating to these Terms or the Services shall not exceed the amount paid by you to Paily in the six months preceding the claim.

11. Indemnification

11.1 You agree to indemnify, defend, and hold harmless Paily, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with your use of the Services or your violation of these Terms.
